Payam Saderat
Website Terms and Conditions
Effective date: August 8, 2026 | Version 1.0
1. Acceptance of These Terms
These Terms and Conditions (the “Terms”) govern access to and use of the Payam Saderat website, including its pages, product information, downloadable materials, contact forms, quotation-request tools and related online services (collectively, the “Website”).
By using the Website, you confirm that you have read, understood and accepted these Terms. If you use it on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
2. Website Operator and Contact Details
The Website is operated by Payam Saderat Company (“Payam Saderat,” “we,” “us” or “our”), a company registered in Tehran, Islamic Republic of Iran.
- Legal name: PAYAMSADERAT
- Registration number / national identifier: [INSERT]
- Registered office: [INSERT COMPLETE ADDRESS]

3. Purpose and Scope of the Website
The Website provides general corporate, product and commercial information about Payam Saderat’s automotive and industrial lubricants, base oils, gear oils, hydraulic oils, engine oils, antifreeze/coolant products and related activities. Unless expressly stated in a valid written contract, it is intended for information and business inquiries only.
The Website is primarily directed to business customers, distributors, importers, wholesalers, industrial purchasers and other professional users. Its content is not engineering, mechanical, environmental, health, safety, tax, customs or legal advice.
4. Eligibility and Authority
You may use the Website only if you are legally capable of entering into binding obligations. You must not act for another person or organization without authorization. We may request reasonable evidence of identity, authority, business registration, end use, destination, source of funds or compliance status.
5. Product Information and Technical Data
Product descriptions, photographs, generated images, packaging, viscosity grades, performance classifications, typical characteristics, applications and documents are for general reference. They may relate to a particular formulation, production period, destination market or historical version and may be changed or withdrawn without notice.
Values identified as “typical” are not guaranteed specifications or batch certificates. Product appearance and packaging may differ from images. Advertising images must not be used to verify labeling, certification, dimensions or regulatory approval.
Some API categories displayed in historical materials may be obsolete or intended for older equipment. Display of a category does not by itself establish current API licensing, approval or suitability for a modern engine. Confirm status through the current technical data sheet, safety data sheet, certificate and written commercial documents.
6. Product Selection, Use and Safety
The purchaser and user are responsible for determining suitability for the intended equipment, application, operating conditions, climate, load, temperature, materials, seals, emissions system and destination market. Consult the equipment manufacturer and verify all required grades, classifications, approvals and compatibility requirements.
Products must be transported, stored, handled, used and disposed of according to the current label, safety data sheet, technical data sheet, applicable law and accepted industry practice. Do not rely solely on Website content for a safety-critical decision.
7. Requests for Quotations and No Online Contract
Submitting a form, inquiry, sample request or request for quotation does not create an order, acceptance, agency, distributorship, exclusivity arrangement or binding contract. Website content is an invitation to inquire and is not a binding offer unless expressly identified as such.
A transaction becomes binding only when the parties validly accept a specific written quotation, pro forma invoice, order confirmation or sales contract. Payam Saderat may accept, reject, suspend or request further information regarding any inquiry, subject to applicable law.
8. Commercial Terms and Order of Precedence
Prices, currency, taxes, duties, minimum quantities, payment, specifications, packaging, inspection, Incoterms®, shipment, title, risk, insurance, delivery, warranties, claims, force majeure and disputes are governed by the applicable quotation or sales contract. If that contract conflicts with these Terms, the contract controls for the transaction.
9. Export Controls, Sanctions, Customs and End Use
You must comply with all trade, export-control, sanctions, customs, anti-boycott, anti-money-laundering, anti-bribery and import laws applicable to you, the transaction, products, destination, transit points, financial institutions and end use. You must not seek products for a prohibited party, destination, activity or end use.
We may decline, suspend or terminate communications or transactions where we reasonably identify a legal, regulatory, banking, shipping, reputational or compliance risk. Nothing requires either party to violate applicable law.
10. User Submissions and Communications
Submitted information must be accurate, lawful and non-misleading. Do not submit malware, unlawful content, unauthorized personal data, third-party confidential information or material that infringes another person’s rights.
Unless a separate confidentiality agreement applies, ordinary Website inquiries are not confidential. Do not send trade secrets or sensitive technical files through a general form. We may use submitted information to respond, assess opportunities, conduct compliance checks, maintain records and protect legal rights, subject to applicable law and our Privacy Notice.
11. Acceptable Use
You must not:
- use the Website unlawfully, fraudulently or harmfully;
- gain or attempt unauthorized access to accounts, servers, databases, forms, code or security systems;
- introduce malicious code, interfere with availability or circumvent controls;
- scrape, harvest or systematically extract content or personal data without written authorization;
- misrepresent an affiliation with Payam Saderat or imply unauthorized approval;
- reverse engineer Website software except where non-waivable law permits it; or
- use Website content for deceptive, counterfeit, relabeled or unauthorized products.
12. Intellectual Property
The Website and its text, design, graphics, photographs, generated images, catalogs, product names, logos, trademarks, technical materials and software are owned by or licensed to Payam Saderat and protected by applicable law.
You receive a limited, revocable, nonexclusive and nontransferable license to access the Website and download publicly available materials solely to evaluate Payam Saderat products. No commercial reproduction, modification, distribution, publication, licensing or derivative use is permitted without prior written authorization. No use of DERIS or Payam Saderat branding is authorized except by written agreement.
13. Third-Party Content and Links
Third-party references and links are provided for convenience. Payam Saderat does not control or endorse them and is not responsible for their availability, accuracy, security, policies or services.
14. Privacy, Cookies and Electronic Communications
Our handling of personal information is governed by our Privacy Notice and Cookie Notice. By submitting an inquiry, you consent to communications reasonably necessary to answer and administer it. Marketing will be sent only as permitted by law, with an opt-out method where required.
15. Website Availability and Security
We may modify, suspend, restrict or discontinue any part of the Website without notice. We do not guarantee uninterrupted, timely, secure or error-free operation. You are responsible for appropriate security, backup and malware protection.
16. Disclaimers
To the maximum extent permitted by applicable law, the Website and its content are provided “as is” and “as available.” Payam Saderat disclaims all express, implied and statutory warranties relating to the Website, including accuracy, completeness, currency, merchantability, fitness for a particular purpose, non-infringement, availability and security.
Nothing excludes a warranty or obligation that cannot legally be excluded. Product warranties, if any, are only those stated in the controlling sales contract or mandatory law.
17. Limitation of Liability
To the maximum extent permitted by law, Payam Saderat and its directors, officers, employees, representatives and affiliates will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, or loss of profit, revenue, business, production, contracts, data, goodwill or opportunity arising from the Website or reliance on its content.
Payam Saderat’s aggregate liability relating to the Website will not exceed the greater of the amount paid specifically for Website access during the preceding six months or USD 100 (or its lawful equivalent). This limit does not govern liability under a separate sales contract.
Nothing excludes liability that cannot legally be excluded, including liability for fraud, willful misconduct or other non-excludable grounds.
18. Indemnification
To the extent permitted by law, you agree to defend, indemnify and hold harmless Payam Saderat and its personnel and affiliates against claims, losses, liabilities, penalties, damages and reasonable costs arising from unlawful Website use, breach of these Terms, infringement, unauthorized submissions or violations of applicable trade or compliance laws, except to the extent caused by Payam Saderat’s own unlawful conduct.
19. Suspension and Termination
We may restrict, suspend or terminate access where we reasonably believe you breached these Terms, created a security or legal risk, infringed rights, provided false information or acted abusively. Provisions intended to survive termination will remain effective.
20. Force Majeure
Payam Saderat is not responsible for delay or interruption caused by events beyond reasonable control, including natural disaster, epidemic, war, civil disturbance, governmental action, sanctions, banking restrictions, telecommunications failure, cyberattack, labor disruption, power outage, transportation disruption or supplier failure. Transaction-specific rights are governed by the applicable sales contract.
21. Governing Law and Disputes
These Terms and non-contractual disputes arising from the Website are governed by the laws of the Islamic Republic of Iran, except where mandatory law requires otherwise.
Before proceedings, the parties should attempt good-faith resolution through written notice and commercial discussion for at least 30 days. Subject to mandatory law and any controlling sales contract, the competent courts of Tehran, Iran have exclusive jurisdiction.
22. Mandatory Rights and Consumer Protection
Nothing limits rights or remedies that cannot legally be waived. If you qualify as a consumer, mandatory consumer-protection rules may apply. Any conflicting provision applies only to the maximum extent legally permitted.
23. Changes to These Terms
We may update these Terms by posting a revised version and changing the effective date. Changes apply prospectively unless law requires otherwise. Continued use after the new effective date constitutes acceptance.
24. General Provisions
If a provision is invalid or unenforceable, it will be modified to the minimum extent necessary or severed, while the remainder continues in effect. Failure to enforce is not a waiver. You may not assign these Terms without our written consent. We may assign them as part of a merger, restructuring, business transfer or Website operation, subject to law.
These Terms and documents expressly incorporated by reference are the entire agreement concerning Website use. Headings are for convenience. “Including” means “including without limitation.”
25. Language
These Terms may be translated. Unless mandatory law requires otherwise, the English version governs if versions conflict. A published Persian version should be reviewed as an authoritative legal translation.
